This Data Processing Agreement ("DPA") forms part of the Terms of Service between That Print AI LLC (operating as RaxyProxy, "Data Processor") and the customer ("Data Controller") and governs the processing of personal data in connection with the Services. This DPA applies where the Data Controller uses RaxyProxy services to process personal data of third parties.
1. Definitions
"Applicable Data Protection Laws" means all applicable laws and regulations relating to the processing of personal data, including the EU General Data Protection Regulation (GDPR) and any equivalent national legislation.
"Personal Data" means any information relating to an identified or identifiable natural person.
"Processing" means any operation performed on personal data, including collection, storage, use, disclosure, or deletion.
"Sub-processor" means any third party engaged by RaxyProxy to process personal data on behalf of the Data Controller.
2. Roles and Responsibilities
The customer acts as the Data Controller and is solely responsible for: ensuring a lawful basis for processing personal data through the Services; providing required privacy notices to data subjects; and ensuring that instructions given to RaxyProxy comply with Applicable Data Protection Laws.
RaxyProxy acts as the Data Processor and will: process personal data only on documented instructions from the Data Controller; not process personal data for any purpose beyond providing the Services; ensure that personnel authorized to process personal data are bound by confidentiality obligations.
3. Processing Details
Subject matter: Provision of proxy infrastructure services (residential, mobile, datacenter, and premium residential proxies).
Duration: For the duration of the active service relationship.
Purpose: To enable the Data Controller to route network requests through RaxyProxy infrastructure.
Nature: Network traffic routing; no content inspection or storage of payload data.
4. Security Measures
RaxyProxy implements appropriate technical and organizational measures to protect personal data against unauthorized access, accidental loss, destruction, or disclosure. These measures include SSL/TLS encryption in transit, access controls, audit logging, and regular security reviews.
In the event of a personal data breach affecting Data Controller data, RaxyProxy will notify the Data Controller without undue delay and no later than 72 hours after becoming aware of the breach.
5. Sub-processors
The Data Controller authorizes RaxyProxy to engage sub-processors for the purpose of providing the Services. Current sub-processors include infrastructure providers (hosting, CDN), payment processors (Stripe, Inc.), and error tracking services.
RaxyProxy will impose data protection obligations on sub-processors equivalent to those in this DPA. RaxyProxy remains liable to the Data Controller for the performance of sub-processors.
6. Data Subject Rights
RaxyProxy will assist the Data Controller in responding to requests from data subjects exercising their rights under Applicable Data Protection Laws (access, rectification, erasure, restriction, portability, objection).
If RaxyProxy receives a request directly from a data subject relating to the Data Controller's processing, RaxyProxy will promptly forward it to the Data Controller.
7. Data Transfers
RaxyProxy is based in the United States. Where personal data is transferred from the European Economic Area (EEA) or United Kingdom to the United States, such transfers are subject to appropriate safeguards in accordance with Applicable Data Protection Laws.
8. Termination and Data Deletion
Upon termination of the service relationship, RaxyProxy will delete or return all personal data processed on behalf of the Data Controller, in accordance with the Data Controller's documented instructions and subject to any legal retention obligations.
Account data is deleted within 90 days of account closure unless a longer retention period is required by law.
9. Liability
Each party's liability under this DPA is subject to the limitations set out in the Terms of Service. RaxyProxy may recover from the Data Controller any additional costs arising from instructions that are inaccurate, incomplete, or unlawful.
